Issuer Event Report

How to View an Issuer Event Report

Steps to view an issuer event report while logged out follow:

Clicking the “Printer friendly version” button will take you to a printer-friendly page and launch your browser’s print dialog box. Use the Back button on the page (not the browser “back” button) to return to the “View Issuer report” page.

Overview: The following are examples of information to be entered in certain fields for each of the eight standard issuer event types contained in SEDI. The focus of these examples is on information content and is not meant to restrict any other type of format or additional information that may be used. However as a minimum requirement, the content of either the "Title" (maximum number of characters: 120 or approximately 2 lines) or the "Details" (maximum number of characters: 4,000 or approximately 40 lines) should follow the issuer event guidelines described in “How to File – Issuer Event Report”

Note: If the issuer event does match one of the eight standard event types contained in SEDI, the issuer event will be categorized as an “other issuer event” type and the event will be described in the “other issuer event” type text box field (e.g. Rights Offering). The description entered will appear as the issuer event type on SEDI. Maximum number of characters to describe an issuer event type is 70.

Redesignation

Reclassification

Affected Securities of ABC Ltd: Common Shares. Each Common Share will be reclassified on the basis of 0.5 Class A Non-Voting Shares and 0.5 Class B Voting Shares for each Common Share held. Rounding: No fractional shares will be issued, the shares issued will be rounded up to the next full shares

Additional information: The common shares will become void at the time of mailing of the resulting Class A Non-Voting Shares and Class B Voting Shares, which is expected to be July 14, 2001.

Affected Securities of ABC Ltd: Common Shares, Series A Convertible Debentures 2004 and Warrants Series 1. Resulting Issuer: XYZ Enterprises Ltd

et-Each Common Share of ABC Ltd will be exchanged for 1.675 Common Shares of XYZ Enterprises Ltd et-Each $ 1,000 of Series A Convertible Debentures 2004 of ABC Ltd will be exchanged for $ 1,000 of Special Convertible Debentures and also 0.5 Warrants Series 3 of XYZ Enterprises Ltd

et-10 Warrants Series 1 of ABC Ltd will be exchanged for 2 Units of XYZ Enterprises Ltd (each unit composed of one common share and one Warrant Series 3) Rounding: Cash payments representing any fractional shares or units to be issued pursuant to the amalgamation will be made to all holders. No fractional amounts will be rounded up to the next full share or unit.

Note: The example below is for the creation of an issuer event report by ABC Ltd. It is expected (assuming that KLM Corp. is also a reporting issuer) that KLM Corp. will also create an issuer event of its own which will reflect the changes on its own affected securities. An issuer event that is created by a particular issuer triggers an alert to only the filers related to the issuer who has created that issuer event.

Spin-off

Affected Securities of ABC Ltd: Common shares. Resulting Issuer: SPN Corporation. Each holder of common shares of ABC Ltd will receive 0.332 common shares of SPN Corporation for each common share of ABC Ltd held

Rounding: Cash payments representing any fractional shares of SPN Corporation to be issued pursuant to the spin-off will be made to all holders of ABC Ltd common shares. No fractional amounts will be rounded up to the next full common share of SPN Corporation. Additional Information: Each holder of common shares of ABC Ltd will retain their current common share holdings in ABC Ltd. Expected mailing date of SPN common shares: September 3, 2001.
