Insider Report for Rights

Filing Process for Rights

You report rights as a separate class of security.

 

You report holdings and transactions in the same manner as you would holdings and transactions involving issuer options and warrants with the following exceptions:

 

Nature of Transaction Codes

 

You acquire or dispose of rights in a number of circumstances, for example:

  • a grant of rights - code 56

 

Note: If you are reporting a grant of rights under a rights offering, please note that the conversion or exercise of rights into the underlying security may not be on a 1:1 basis. For example, if you held 1000 common shares and were granted one right for every common share held, you would report an acquisition of 1000 rights. For the underlying security of the grant, if the conversion or exercise of the rights is on a 10:1 basis (i.e. every ten rights allows you to purchase one common share), you would show that you may acquire 100 common shares as the amount for the underlying security.

  • an exercise of rights - code 57

  • an expiration of rights - code 58

  • an exercise for cash – code 59

  • through redemption, retraction, cancellation, repurchase – code 38

  • a stock split or consolidation – code 37

  • in the public market – code 10

  • by any other private transaction – code 11 or private placement – code 11 or 16

Instructions to File an Insider Report

Filing an insider report for rights is similar to filing an insider report for issuer options or warrants with the exceptions noted above.
